Proposal: GPCA Governance

SUBJECT: GPCA Governance

BACKGROUND AND PURPOSE:  Since the summer of 2016, concerns have been raised by Greens within Los Angeles and Contra Costa Counties - as well s across California - about GPCA governance and operations.  The purpose of this proposal is to present documentation to substantiate these concerns, and to establish a Resolutions Sub-Committee of the General Assembly within which equitable resolution of these concerns and others can be achieved, in order to assure the integrity and legitimacy of GPCA operations in the future.

Specifically areas of concern include (with explanatory links below):

  (1)  GPCA Fiscal Policy Violations/California FPPC Campaign Finance Reporting Violations
  (2)  GPCA Bylaws Violations
  (3)  GPCA Coordinating Committee election procedures violations
  (4)  GPCA election of Delegates to the GPUS procedures violations
  (5)  GPCA endorsement procedures violations
  (6)  Legitimacy of GPCA Standing General Assembly
  (7)  GPCA Spokespersons procedure violations
  (8)  Inadequate Record and Website Maintenance of GPCA web site
  (9)  Failure to maintain and operate GPCA Inform List
(10)  Denial of GPLAC access to email blast data update capability for LA County data within GPCA Nationbuilder data base

PROPOSAL:

Part I:  That the General Assembly direct the GPCA Treasurer and Finance Committee to complee an audit of Kern County income and expenses and to file all appropriate financial reports with the California Secretary of State and the California Fair Political Practices Commission by Decembe 31, 2018.

Part II: That the General Assemlby establish a Resolutions Sub-Committee of the General Assembly, with the following Duties and Responsibilities.

To explore the issues raised in the background to this agenda item, and proposed a resolution of these and related issues to the General Assembly for approval. Such resolution could consist of one or more bylaws interpretations, bylaws changes, directions to the GPCA Treasurer and/or other actions and decisions.

1) The Resolutions Sub-Committee (ResoSC) would consist eight members, four appointed by the Coordinating Committee and four by the sponsors of this proposal. One of the four appointed by the Coordinating Committee must be a member of the Bylaws Committee and the other three can be any GPCA member. Those appointed by the sponsors of this proposal would be Mike Feinstein, Ajay Rai and Julia Russell (Los Angeles County), Tim Laidman (Contra Costa County) and four members chosen by the Coordinating Committee, including at least one member of the Bylaws Committee.

2) The ResoSC would meet at least monthly by teleconference between its establishment and it termination, and the GPCA IT would create an email list dedicated for the ResoSC's use, and where its work could be archived.

3) Any decisions of the committee shall require a majority vote.

4) The duration of the Resolutions Sub-Committee shall be through the end of 2019 or sooner, should it decide that its work is completed-

TIMELINE/RESOURCES: The ResoSC would meet at least monthly by teleconference between its establishment and the next GPCA General Assembly, and GPCA IT would create an email list dedicated for the ResoSC's use.
